Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you and VALÉ, Inc. ("VALÉ," "we," "us," or "our") governing your access to and use of the VALÉ website, applications, and related services (collectively, the "Service"). By creating an account, submitting an application, paying any fee, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of another person, you represent that you are authorized to bind that person to these Terms.

VALÉ is an adults-only service intended for individuals seeking serious, marriage-minded relationships. You may use the Service only if you meet all of the following requirements:

• You are at least twenty-one (21) years of age. This is a strict minimum; the Service is not directed to and may not be used by anyone under 21.
• You are legally able to enter into a binding contract.
• You are not legally married, and you are genuinely available to pursue a committed relationship.
• You have never been convicted of, and are not required to register as a sex offender for, any felony, sexual offense, or violent crime.
• Your account has not previously been removed by VALÉ, and you are not barred from using the Service under applicable law.

By using the Service, you represent and warrant that each statement above is and will remain true. We may require verification of your age and identity at any time and may refuse, suspend, or terminate access if we are unable to verify your eligibility or if we believe any representation is false.

Access to VALÉ is by application and approval. Men apply for membership and, upon approval, may activate a paid membership. Women may join without a membership fee. Submitting an application does not guarantee approval; we curate the community at our sole discretion and may decline any application for any lawful reason or no reason.

You agree to provide accurate, current, and complete information during onboarding and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. You may not share, sell, or transfer your account or membership to any other person.

Identity, email, and phone verification

We verify your email address and phone number during onboarding and may employ additional identity or photo verification measures. You consent to receiving verification codes and transactional messages by email and SMS as part of this process.

Certain features require payment. Fees are charged through our third-party payment processor (Stripe). By providing payment information, you authorize us and our processor to charge the applicable fees to your selected payment method.

Application fee

Men pay a one-time application review fee at the time of submission. This fee is collected before review and is intended to confirm genuine intent. If your application is not accepted, the application fee is refunded in full to your original payment method. If your application is accepted, the application fee is non-refundable.

Membership subscriptions

Approved male members may activate a recurring monthly membership (for example, Standard or Premium tiers) at the rates disclosed at the point of purchase. Memberships are billed in advance and automatically renew each billing period until cancelled. By activating a membership you authorize recurring charges at the then-current rate.

Cancellation

You may cancel your membership at any time from your account settings. Cancellation stops future renewals; your access continues through the end of the current paid billing period. Except where required by law, membership fees already paid are non-refundable, and we do not provide partial or prorated refunds for unused time.

Changes to pricing

We may change our fees and introduce new charges with reasonable advance notice. Continued use of paid features after a price change takes effect constitutes acceptance of the new pricing.

VALÉ provides a curated environment in which members may discover and connect with one another. The Service is intentionally asymmetric in keeping with its traditional design: men may initiate contact with members they are interested in, while women express interest and may respond once contacted. Specific features, mechanics, and limits may change over time at our discretion.

VALÉ is an introduction and communication platform only. We do not promise, guarantee, or warrant that you will receive any particular number of matches, messages, responses, dates, relationships, or outcomes of any kind. The success of any connection depends on factors outside our control.

VALÉ is a private community built on discretion and mutual respect. You agree to conduct yourself honestly and courteously and to use the Service only for its intended purpose of seeking a genuine relationship. You agree to honor the privacy of other members and to keep private communications and member information confidential.

You agree that you will not, and will not attempt to:

• Provide false, misleading, or impersonating information, or misrepresent your age, identity, marital status, or photographs.
• Use the Service for any commercial solicitation, advertising, prostitution, escorting, "sugar" arrangements, or other transactional or unlawful purpose.
• Harass, threaten, abuse, defame, stalk, or intimidate any person, or send unsolicited explicit content.
• Post or transmit content that is unlawful, hateful, sexually exploitative, harmful to minors, or that infringes the rights of others.
• Request, solicit, or transmit money, financial account information, or gifts from other members, or engage in any scam or fraud.
• Collect, harvest, scrape, or store other members’ information, or use the Service to build a dataset, including for training machine-learning models.
• Circumvent, disable, or interfere with security features, rate limits, or access controls; introduce malware; or probe or test the vulnerability of the Service.
• Use bots, automation, or unauthorized means to access the Service, or access it through anyone other than the interfaces we provide.
• Create more than one account, or create a new account after your account has been suspended or removed.

Violation of these rules may result in immediate suspension or permanent removal, forfeiture of fees, and, where appropriate, referral to law enforcement.

You retain ownership of the photographs, text, and other content you submit ("User Content"). You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or the rights of any third party. You are solely responsible for your User Content.

You grant VALÉ a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, display, and distribute your User Content solely as necessary to operate, provide, secure, and improve the Service (for example, displaying your profile to other members). This license ends when you delete your User Content or account, except for copies retained for legal, security, or backup purposes, or already shared with other members.

We may, but are not obligated to, review, moderate, or remove User Content that we believe violates these Terms or applicable law.

The Service includes private messaging and may include voice or video calling between connected members. You are responsible for your communications and must not record, screenshot, or redistribute another member’s communications, images, or call content without their consent and in compliance with applicable law. Some jurisdictions require the consent of all parties to record a call; you are responsible for complying with those laws.

By using the Service you consent to receive service-related communications from us, including by email and SMS. Message and data rates may apply. You may opt out of non-essential notifications in your settings; certain transactional or legal communications are required to use the Service.

YOUR SAFETY IS YOUR RESPONSIBILITY. VALÉ does not conduct criminal background checks, identity investigations, or character screenings on members, and our review process is not a substitute for your own judgment. We do not verify that members are who they claim to be beyond the limited verification measures we describe, and we make no representation about the conduct, background, or intentions of any member.

You are solely responsible for your interactions with other members, including any decision to communicate, share personal information, or meet in person. Exercise caution, meet in public, tell someone where you are going, and never send money to anyone you meet through the Service. You agree that VALÉ is not responsible for the conduct of any member, online or offline.

The Service, including its design, text, graphics, logos, the VALÉ name and marks, software, and all other materials we provide (excluding User Content), is owned by VALÉ or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service except as permitted by law.

We rely on reputable third parties to operate the Service, including providers of payment processing, hosting, database and storage, email, SMS, and automated matching support. Your use of the Service may be subject to those providers’ terms. We are not responsible for third-party services, and their inclusion does not imply endorsement. See our Privacy Policy for the categories of providers with whom we share information.

Our collection and use of your information is described in our Privacy Policy. By using the Service, you consent to those practices. Please review the Privacy Policy carefully.

We may suspend or terminate your account or access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for VALÉ or others, or for any other lawful reason. You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination will survive, including fees owed, licenses for already-shared content, disclaimers, limitations of liability, indemnification, and dispute resolution.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, VALÉ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT, MATCH, OR RELATIONSHIP.

TO THE FULLEST EXTENT PERMITTED BY LAW, VALÉ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR EMOTIONAL DISTRESS OR PERSONAL INJURY ARISING FROM OR RELATED TO THE CONDUCT OF ANY MEMBER OR THIRD PARTY, WHETHER ONLINE OR OFFLINE.

TO THE FULLEST EXTENT PERMITTED BY LAW, VALÉ’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VALÉ IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless VALÉ and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms or applicable law, or your interactions with any other member.

PLEASE READ THIS SECTION CAREFULLY, IT AFFECTS YOUR LEGAL RIGHTS. Except where prohibited by law, you and VALÉ agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding individual arbitration, rather than in court, before a neutral arbitrator administered by a recognized arbitration provider under its consumer rules. The arbitration will take place in the county of your residence or another mutually agreed location, or by videoconference.

YOU AND VALÉ AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Either party may bring an individual claim in small-claims court for disputes within its jurisdiction. You may opt out of this arbitration agreement by sending written notice to the contact address below within thirty (30) days of first accepting these Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration provision. Subject to the arbitration section, the state and federal courts located in Delaware have exclusive jurisdiction over any matter not subject to arbitration.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email and update the "Last updated" date above. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms and the Privacy Policy are the entire agreement between you and VALÉ regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. You consent to receiving communications and agreements electronically.
